These Terms and Conditions govern your participation in the Bucky Affiliates program (“Program”) operated by Bucky AI Inc. (“Bucky,” “we,” “us,” or “our”). By submitting an application or referring a firm, you agree to be bound by these terms.
1. Eligibility
The Program is open to individuals and entities that are not employees, contractors, or immediate family members of employees of Bucky AI Inc. To participate, you must:
- Submit a complete application through the Program application form.
- Be approved in writing by Bucky (approval is at our sole discretion).
- Maintain an active affiliate account in good standing.
Bucky reserves the right to reject any application for any reason, including if the applicant’s industry, business practices, or reputation conflict with our values.
2. Qualifying Referrals
A “Qualifying Referral” is a firm that meets all of the following conditions:
- New customer.The firm has never previously signed up for or used Bucky’s platform.
- Referred through your unique link. The firm must submit their application through the affiliate-specific referral link or code assigned to you.
- Executes an agreement. The firm signs a valid platform subscription agreement with Bucky.
- Satisfies probation.The firm remains active on the platform for at least 60 days from the date of subscription (the “Probation Period”).
No payout will be issued for any referral that does not satisfy all of the above criteria. Referrals of firms already in Bucky’s sales pipeline at the time of submission do not qualify.
3. Payouts
For each Qualifying Referral, Bucky will pay you a one-time referral fee of $1,000 CAD (or the equivalent in USD, determined at Bucky’s then-current exchange rate).
Payment trigger.The fee is payable 30 days after the referred firm completes its 60-day Probation Period (i.e., approximately 90 days after the firm’s subscription start date), subject to verification.
Payment method. Payments are issued via bank transfer, cheque, or an online payment processor chosen by Bucky. You are responsible for providing accurate payment information.
Currency. All payments are made in Canadian dollars (CAD) unless otherwise agreed in writing.
Taxes. You are solely responsible for any taxes, duties, or levies applicable to payments received under this Program. Bucky may issue tax forms as required by applicable law.
4. Self-Referrals and Conflicts
You may not refer yourself, your own firm, or any entity in which you hold a material ownership or control interest. Bucky reserves the right to withhold payment and terminate your participation if we determine, in our sole discretion, that a referral is not arms-length.
5. Prohibited Conduct
You agree not to:
- Make false, misleading, or exaggerated claims about Bucky or the Program.
- Use spam, unsolicited bulk email, paid search ads on Bucky’s brand terms, or any other deceptive marketing practices.
- Register域名 or social media handles that include “Bucky” or confusingly similar variations.
- Bid on or use Bucky’s trademarks in paid advertising without prior written consent.
- Attempt to game, manipulate, or defraud the Program (including submitting fictitious referrals).
Violation of this Section entitles Bucky to immediately terminate your participation and withhold all unpaid referral fees.
6. Term and Termination
Your participation begins on the date you are approved into the Program and continues until terminated by either party. Either party may terminate at any time, for any reason, upon 7 days’ written notice.
Upon termination, you remain eligible for referral fees on Qualifying Referrals that were submitted before the termination date and that subsequently meet all qualification criteria. No fees will be paid for referrals submitted after termination.
7. Independent Relationship
You are an independent participant, not an employee, agent, joint venturer, or partner of Bucky. You have no authority to bind Bucky or incur obligations on its behalf. You are not entitled to any employee benefits, workers’ compensation, or unemployment benefits through Bucky.
8. Confidential Information
You may receive non-public information about Bucky’s business, including referral data, payout terms, and platform details. You agree to hold this information in confidence and not disclose it to any third party without Bucky’s prior written consent.
9. Limitation of Liability
To the maximum extent permitted by law, Bucky shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your participation in the Program. Bucky’s total cumulative liability under these terms shall not exceed the total referral fees paid or payable to you in the 12 months preceding the claim.
10. Modifications
Bucky reserves the right to modify or discontinue the Program, or these Terms and Conditions, at any time with 14 days’ notice. Changes will be communicated via email or posted on the Program website. Your continued participation after the notice period constitutes acceptance of the modified terms.
11. Governing Law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising out of the Program shall be resolved exclusively in the courts of Toronto, Ontario.
