Who gets what when the deal sells?

Enter the LP and GP equity, the cash flow to equity each year, and up to four hurdle tiers. See what each partner receives, their IRR and multiple, and what the promote costs the LP.

The LP gets $27,633,610; the GP gets $7,506,390.

$1,979,668 of the GP's share is promote. Without it, the LP would get $1,649,723 more.

The defaults are the illustrative deal from an offering memorandum template. Annual periods; hurdles are measured on the LP and compound annually. General information, not financial, legal or investment advice.

How this works

A waterfall decides who gets each dollar the deal returns. This one uses IRR hurdles measured on the LP, the most common structure in development deals.

  1. 1

Year 0 The LP and the GP put in their equity. Their shares of the total set the pro rata split.

  2. 2

Each year Every open hurdle balance starts at the LP’s equity and grows by its hurdle rate. Cash runs down the tiers in order.

  3. 3

In each tier The GP takes the tier’s promote %. The rest is split pro rata between LP and GP capital. The tier fills when the LP has received enough to bring its balance to zero, that is, when the LP’s IRR reaches the hurdle.

  4. 4

Every LP dollar reduces every open hurdle balance, so a later tier only starts once the LP has passed the earlier hurdle.

  5. 5

The last tier has no hurdle. Everything left goes through it at its promote %.

IRR is the rate that brings each partner's cash flows to zero, solved by bisection. Equity multiple is total distributions ÷ equity in.

Questions

Why annual periods?

Most offering memoranda present annual cash flows, and an annual waterfall is easy to check by hand. Real agreements often compound hurdles monthly or daily and distribute quarterly, which moves the split a little. Your operating agreement controls.

What does “promote cost to LP” mean?

It is what the LP gives up for the promote: the LP’s pro rata share of every dollar distributed, minus what the LP actually receives through the tiers. It is lower than the promote itself, because part of each promoted dollar would have gone to the GP’s own capital anyway.

Can it model a catch-up, capital calls or a clawback?

No. Equity goes in once, in year 0, and cash flows after that cannot be negative. There is no GP catch-up and no clawback. Use it to sanity-check a structure, then model the agreement as written.

Is this investment advice?

No. It is arithmetic on the numbers you enter. It does not know your deal, your partners or your agreement. Have your counsel and accountant review any structure before you sign.

Frequently asked
questions

What does Bucky do?

Bucky finds every property where your business fits. Tell us what you build, buy, or plan, and we build a list of matching properties in your area, refreshed every month. You choose what the list becomes: a file, a report, a map, or mail at the owner’s door.

What is a list?

Your search criteria applied to a place. For example: “lots where a garden suite fits” in Austin, or “multiplex-ready lots under 2 acres” in Toronto. Bucky checks every parcel and keeps the ones that match.

Who is Bucky for?

Anyone whose work starts with the right property. Product sellers (ADUs, pools, solar, prefab) use it to reach owners. Developers and investors use it to find sites before they list. Cities and economic development offices use it to show what can be built and attract projects.

Where does the data come from, and can I trust it?

Every fact is cited to its public source, down to the section of the zoning bylaw, so you can defend it with a client or a planner. When a fact isn’t published, Bucky shows it as not found instead of guessing.

Which cities does Bucky cover?

Bucky covers 700+ cities across Canada and the US. Depth depends on what each city publishes. If your city isn’t live yet, request it and we’ll map it.

How much does it cost? Can I try it first?

Yes. The Free plan searches every city Bucky covers and keeps 3 lists. Paid plans start at $29 a month for more lists. Reports and postcards are optional, and you pay for them only when you order them.

Do I need to install anything?

No. Bucky runs in your browser. It also works in Claude and ChatGPT, in Chrome next to the listing you’re reading, and on Mac and iPhone.
